Vice Chairman

Robert H. Smith has served as Vice Chairman and a director of the Bank since its formation in 2003. Mr. Smith is the Chairman of the Bank's Asset Liability Committee, and Chairman of the Bank's Compensation and Governance Committee, and is also a member of the Audit Committee and the Ad Hoc Strategic Planning Committee.

Mr. Smith has been a principal with Robert H. Smith Investments & Consulting, Pasadena, California, since October 1992. He was the managing partner of Smith & Crowley, Inc., a Pasadena, California merchant-banking firm, from July 1993 to May 2003. In 1992, Mr. Smith retired as Director and Chief Operating Officer of BankAmericorp and Bank of America, NT & SA following a 31-year career with Security Pacific National Bank. Prior to the acquisition by BankAmericorp, Mr. Smith was Chairman and Chief Executive Officer of Security Pacific Corporation and its bank subsidiary, Security Pacific National Bank.

Prior to joining Security Pacific National Bank in 1961, Mr. Smith was a Lieutenant J.G. in the United States Navy.

Mr. Smith has been a director of Edison International (NYSE: EIX) since 1988 and a director of Southern California Edison since 1987. Mr. Smith is also a director of Tarpanware International, Inc. Mr. Smith is a current Trustee for the University of Southern California and for Santa Clara University. Mr. Smith has been appointed a Public Governor of the Pacific Coast Exchange.

In addition to his Chairman and director responsibilities at Security Pacific Corporation and Security Pacific National Bank and his directorship at BankAmericorp and Bank of America, NT & SA, Mr. Smith was Chairman of Marine National Bank from 1996 to 1999. He is also a past director of each of the following companies:

Pinkerton, Inc.
Oasis Residential, Inc.
J. G. Boswell
Depository Trust Company

Mr. Smith was a member of the Market Oversight Committee for the Securities Exchange Commission. He has served on the Board of Directors for the Special Advisory Study of the Los Angeles Riots, the State Teacher's Retirement System, the Music Center of Los Angeles, DARE America, Inc., the World Affairs Council, Executive Service Corporation of Southern California. He was a member of the Board of Visitors for the UCLA Anderson School of Management and on the Board of Governors for the California Community Foundation. He taught management for six years at the Pacific Coast Banking School. Mr. Smith is the author of Dead Bank Walking.
